Manager, Stock Plan Administration

Carnival Corporation & plc, the parent company for Carnival Cruise Lines and 12 other cruise operators, and a member of the S&P 500, is currently seeking a Manager, Stock Plan Administration to join our legal team, based in our Miami, Florida corporate office.


Education/Requirements:

· Bachelor’s degree (accounting or finance preferred) and 4 or more years experience administering US and UK equity based incentive plans.

· Certified Equity Professional or UK equivalent certification preferred. Must have functional knowledge of US and UK securities and tax laws/regulations, and financial reporting requirements applicable to equity based incentive plans.

· Must be extremely organized, detail-oriented and able to prioritize and juggle multiple tasks under pressure.

· Excellent oral and written communication skills and problem solving skills.

· Ability to present complex information in a clear and understandable manner to plan participants at all levels (including board members, senior executives and other employee participants) in one-on-one and group situations. Proven interpersonal, project management and leadership skills, but also able to function effectively as a team member.

· Proficient in Excel, Word, Outlook and Internet Explorer.

· Knowledge of Express Options and Crystal Reports a plus.

Responsibilities:

· Responsible for administration of US and UK equity based incentive plans (stock option, restricted stock and restricted stock units) in compliance with applicable US and UK laws and relevant tax guidelines.

· Conducts daily administration including processing of stock option exercises (manual and automated).  Manages the annual grant process (resolution preparation, grant list preparation, grant certificate preparation and distribution.)

· Facilitates daily import and export of information with Smith Barney.

· Prepares grant packages and other communications, including trustee updates, plan booklets and FAQs.  Participates in audit process and SOX testing related to all equity based incentive plans (with Finance, internal audit and external auditors.)

· Updates daily control reports, notifies internal departments of daily plan activity, tracks and reconciles daily wire transfers.

· Prepares data for the annual Proxy and UK Remuneration Report.

· Manages database maintenance including daily/weekly updates (i.e., demographic, FICA, etc.) to and from all payroll systems, ensures appropriate tax withholding rates for all US and non-US participants, monitors exception report process indicating possible discrepancies in participant data, etc.

· Manages administration and database process flows and procedures, and recommends process improvements.

· Reviews plan documents, works with internal counsel on plan interpretations and recommends changes.

· Provides information necessary to complete Section 16 and UK Disclosure Rules reporting.

· Prepares all stock option, restricted stock and restricted stock unit reporting including monthly, quarterly, and ad hoc reporting for internal sources including, but not limited to, Legal, Tax, Financial Reporting, Accounting, Human Resources, Internal Audit and external sources including, but not limited to, Transfer Agent, plan Trustees, Execution Brokers, Outside Auditors and plan participants.

· Manages the vendor relationships with Smith Barney (US and UK) and Transcentive.

· Works closely with other business areas for relevant parent and subsidiary companies including Finance, Payroll and Tax.

·Provides customer service to all plan participants (directors, executives and other employees) on stock option and restricted stock related inquiries.
